Unless expressly stated otherwise, all products sold on the website are supplied in digital form only and no physical shipment is made.
3. Scope of Application
These Terms apply to all visitors of the website and all customers placing an order on License Avenue. By using the website or placing an order, the customer acknowledges having read and accepted these Terms in full.
These Terms prevail over any contradictory document, unless mandatory law provides otherwise.
4. Customer Eligibility
Customers must have the legal capacity to enter into a binding agreement. If an order is placed on behalf of a legal entity, the person placing the order confirms that they are authorized to do so.
5. Product Information
Product descriptions, compatibility notes, images, publisher references, and technical specifications displayed on the website are provided for informational purposes only and to the best of our knowledge.
Customers are responsible for verifying, before purchase, that the selected product matches their intended use, including:
- software edition and version;
- operating system compatibility;
- device compatibility;
- regional or language restrictions;
- publisher account requirements;
- number of devices, duration, and activation type.
The customer acknowledges that third-party software publishers may impose their own end-user license agreements, technical restrictions, activation rules, account requirements, and eligibility conditions. The customer agrees to comply with such publisher terms.
6. Nature of the Products
The products offered on the website are digital products. Delivery may include, depending on the product:
- a software license key;
- an activation code;
- a download link;
- access credentials;
- digital redemption instructions;
- subscription activation data.
No ownership of intellectual property is transferred through the sale, except for the limited right of use granted under the relevant license terms.
7. Orders
Orders are placed through the website by selecting products, validating the cart, entering the requested information, accepting these Terms, and completing payment.
An order becomes final only after full payment has been successfully authorized and accepted.
License Avenue reserves the right to refuse, suspend, or cancel any order in case of legitimate reason, including but not limited to:
- suspected fraud;
- payment incident or chargeback risk;
- abusive behavior;
- manifest pricing or catalog error;
- duplicate or abnormal order pattern;
- breach of these Terms.
8. Prices
Prices displayed on the website are those applicable at the time of the order. They may be modified at any time without notice, but the customer will be charged based on the price displayed at checkout and validated before payment.
As the seller operates under the French VAT exemption regime applicable to micro-entreprises, VAT is not charged. The following mention applies: VAT not applicable, article 293 B of the French General Tax Code.
9. Payment
Payment is due immediately upon ordering. Accepted payment methods are those displayed at checkout.
The seller may use third-party payment service providers. The website does not undertake to store full banking data. In the event of payment refusal, the order will not be completed.
10. Delivery
Delivery of digital products is made electronically, generally by on-screen display, user account access, email, or automated delivery system.
Delivery is usually made promptly after payment confirmation, but delivery times are indicative only and may vary depending on:
- manual verification procedures;
- anti-fraud checks;
- technical maintenance;
- publisher-side availability;
- temporary stock synchronization issues.
The customer is responsible for providing a valid email address and checking spam or junk folders where applicable.
11. Activation and Use
The customer is solely responsible for following the installation and activation instructions provided with the product. License Avenue cannot be held responsible for activation failure resulting from:
- incorrect use by the customer;
- an incompatible system or unsupported region;
- attempted use exceeding the license scope;
- publisher-side account restrictions;
- failure to meet publisher requirements.
12. Right of Withdrawal
If the customer is a consumer residing in the European Union, they may in principle benefit from a statutory right of withdrawal.
However, for digital content not supplied on a tangible medium, the customer expressly acknowledges and agrees that performance may begin immediately after purchase and that, by requesting immediate delivery, they expressly waive their right of withdrawal once the digital content has been supplied or access has begun, where permitted by applicable law.
By placing an order for immediate digital delivery, the customer expressly:
- requests immediate performance of the contract;
- acknowledges that the product is digital content not supplied on a tangible medium;
- acknowledges that they may lose their right of withdrawal once delivery has started.
13. Refunds and Claims
Due to the digital nature of the products, refunds are not automatic and are assessed case by case.
A claim may be accepted in particular where:
- the delivered key or code is invalid and this is verified;
- the wrong product was delivered;
- the product was never delivered despite confirmed payment;
- the issue is attributable to the seller and not to misuse or incompatibility.
No refund will be granted where the issue results from:
- customer error at purchase;
- incompatibility clearly indicated or reasonably foreseeable;
- region or platform restrictions ignored by the customer;
- attempted resale, transfer, or misuse;
- publisher account sanctions or third-party restrictions unrelated to the seller.
Customers must contact support at contact@licenseavenue.com with all relevant details, including order reference, description of the issue, screenshots where relevant, and any activation error message.
14. Legal Guarantees
Where mandatory law applies, consumers benefit from the legal guarantees provided under applicable consumer law, including legal conformity rights applicable to digital content and digital services.
Nothing in these Terms limits or excludes any mandatory statutory rights that cannot lawfully be waived.
15. Intellectual Property
All content of the website, including but not limited to text, structure, graphics, design, visuals, logos, icons, and source elements, is protected by applicable intellectual property laws.
Any reproduction, distribution, extraction, republication, or unauthorized use, in whole or in part, is prohibited without prior written consent.
Third-party trademarks, software names, publisher names, and logos remain the property of their respective owners and are used only for identification purposes.
16. Prohibited Conduct
Customers agree not to:
- use the website for unlawful or fraudulent purposes;
- attempt to reverse engineer, bypass, or manipulate activation systems unlawfully;
- resell products where resale is prohibited;
- submit false information;
- interfere with the operation or security of the website.
17. Limitation of Liability
To the maximum extent permitted by law, License Avenue shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, data, business opportunity, or commercial loss resulting from the use of the website or the products sold.
In any event, the seller's liability, where established, shall be limited to the amount actually paid by the customer for the relevant order, except where mandatory law provides otherwise.
The seller is not liable for downtime, delays, or failures caused by third-party services, publishers, hosting providers, payment providers, force majeure events, network interruption, cyberattack, or circumstances beyond reasonable control.
18. Account, Security and Fraud Prevention
The seller reserves the right to perform identity, anti-fraud, and consistency checks before fulfilling any order.
Any suspicious transaction may be delayed, suspended, or cancelled. Additional information may be requested where reasonably necessary to secure a transaction.
19. Personal Data
Personal data is processed for order management, customer support, fraud prevention, and legal compliance. More detailed information regarding data processing should be set out in the website's Privacy Policy.
20. Force Majeure
The seller shall not be held liable for any failure or delay in performance resulting from events beyond reasonable control, including but not limited to power outage, cyber incident, telecom disruption, hosting failure, governmental restriction, publisher-side outage, strike, natural disaster, or any force majeure event recognized by applicable law.
21. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
22. Modification of the Terms
The seller reserves the right to amend these Terms at any time. The version applicable to a purchase is the version published on the website at the time the order is placed.
23. Governing Law
These Terms are governed by French law, without prejudice to any mandatory consumer protection rules that may apply in the customer's country of residence.
